Pine Labs has acquired 100 percent stake in Shopflo Technologies in a transaction valued at up to Rs 88 crore. The deal will be completed within three months and is structured entirely as a cash transaction.
The acquisition brings checkout infrastructure capabilities into Pine Labs’ growing commerce platform strategy.
Checkout is emerging as a critical conversion layer for digital brands.
By integrating Shopflo’s optimisation tools with its payments infrastructure, Pine Labs is moving beyond transactions toward building an end to end commerce enablement platform for merchants across online and offline channels.
This positions the company more strongly inside the rapidly expanding D2C ecosystem.
Founded in December 2021, Shopflo develops checkout optimisation software and ecommerce enablement tools designed to reduce cart abandonment and improve payment success rates.
Its platform is used by more than 1,000 online brands and has supported transactions for over 60 million consumers.
Merchants using Shopflo have reported conversion improvements between 15 and 20 percent.
Shopflo reported revenue of Rs 14.7 crore in FY25, growing from Rs 9.1 crore in FY24 and Rs 0.63 crore in FY23.
The company has raised about 3.7 million dollars from investors including Tiger Global, TQ Ventures, and Better Capital. It gained early attention when Tiger Global made its first seed investment in India through the startup.
Pine Labs’ online payments business recorded around 50 percent year on year growth in Q3 FY26 with revenue reaching Rs 744 crore compared to Rs 601 crore a year earlier.
The company also reported a net profit of Rs 42 crore during the quarter compared to a loss in the same period last year.
With the addition of Shopflo, Pine Labs is strengthening its ambition to offer merchants a unified platform that connects payments, checkout experience, and customer engagement across channels.
